03

Quotations, Proposals, and Project Scope

Any quotation, estimate, proposal, or timeline is based on the information available at the time it is prepared. If requirements change or new risks are discovered, scope, cost, and timeline may need to be revised.

  • Scope should define deliverables, assumptions, exclusions, milestones, and responsibilities.
  • Change requests may affect cost, delivery dates, support requirements, and technical design.
  • Urgent work, after-hours support, third-party costs, and additional integrations may require separate approval.
04

  • Maintain third-party accounts, subscriptions, domains, hosting, cloud usage, payment methods, and licenses unless otherwise agreed.
  • Do not provide unlawful, misleading, harmful, infringing, confidential third-party, or unauthorized materials.
05

Payment and Commercial Terms

Prices, deposits, payment milestones, recurring fees, taxes, currency, refund terms, suspension rights, and late-payment rules will be stated in the relevant quotation, invoice, proposal, or contract.

Unless otherwise agreed in writing, third-party costs such as hosting, domains, cloud usage, SMS, email services, payment gateways, APIs, software licenses, and premium plugins are the client's responsibility.

  • Work may be paused where required approvals, access, content, or payments are delayed.
  • Recurring support or maintenance services may be suspended if invoices remain unpaid.
  • Any refund, cancellation, or early termination request will be assessed according to the applicable written agreement.
06

Intellectual Property and Deliverables

Unless a written agreement states otherwise, KEEN SYSTEMS PVT LTD retains ownership of our pre-existing tools, frameworks, templates, internal libraries, reusable components, methods, know-how, documentation patterns, and general technical knowledge.

Client-specific deliverables, source code ownership, licensing rights, usage rights, handover requirements, and restrictions should be defined in the relevant written project agreement.

  • Third-party platforms, icons, fonts, media, APIs, and services remain owned by their respective owners.
  • Client-provided content remains the responsibility of the client.
  • Portfolio use, case studies, and public references require appropriate approval where sensitive project details are involved.
07

Support, Security, and System Access

When you request technical support, you authorize our team to access systems, source code, databases, cloud accounts, configuration, logs, or data reasonably required to diagnose, secure, maintain, or resolve the requested issue.

Clients remain responsible for account permissions, internal approvals, regulatory obligations, data classification, user management, and business continuity decisions relating to their own systems.

  • Share credentials only through appropriate secure channels.
  • Remove or rotate access when a support task or project is complete where appropriate.
  • Notify us promptly if you believe an account, credential, server, database, website, or integration has been compromised.

09

Confidentiality

Both parties should handle non-public business, technical, financial, account, and project information with reasonable care. Confidential information should be used only for the purpose for which it was provided.

Confidentiality duties do not apply to information that is publicly available, independently developed, already known without restriction, or required to be disclosed by law.
